1. Introduction and Acceptance
Welcome to GulfStockHub ("Platform", "we", "us", or "our"). GulfStockHub is a B2B industrial surplus marketplace connecting buyers and sellers of industrial equipment across the Gulf Cooperation Council (GCC) region.
These Terms of Service ("Terms") govern your access to and use of the GulfStockHub website at gulfstockhub.com and all related services. By registering an account, posting a listing, initiating a negotiation, or otherwise accessing any part of the Platform, you confirm that:
- you have read, understood, and agree to be bound by these Terms;
- you are acting on behalf of a business entity or in a professional commercial capacity (not as a consumer);
- you have the authority to bind any organisation you represent; and
- you are at least 18 years of age.
If you do not agree to these Terms, you must not use the Platform.
2. Nature of the Platform — Marketplace Intermediary
IMPORTANT — READ CAREFULLY.
GulfStockHub is a listing and negotiation facilitation platform only. We are not a party to any transaction, sale, purchase, or agreement made between users.
- We do not buy, sell, own, inspect, warehouse, or ship any goods listed on the Platform.
- We do not verify the accuracy, condition, quantity, title, or legal status of any listed item.
- We do not process payments or hold funds on behalf of any user.
- Prices, trade terms, delivery conditions, and warranties displayed in listings are provided solely by the selling user and are their responsibility.
- Any negotiation conducted through the Platform's negotiation tool is between users directly. GulfStockHub is not a mediator and takes no position on the outcome.
All transactions are entered into at the sole risk of the parties involved. You are responsible for conducting your own due diligence before agreeing to any commercial terms.
Jurisdiction note: This intermediary structure is consistent with e-commerce marketplace frameworks across GCC jurisdictions including UAE Federal Decree-Law No. 14 of 2023 on Commercial Mediation and relevant Saudi MCIT e-commerce guidelines.
3. Eligibility and Registration
3.1 B2B Only
The Platform is intended exclusively for use by businesses, traders, procurement professionals, engineers, and other commercial entities. It is not a consumer marketplace.
3.2 Account Registration
To access core features (posting listings, initiating negotiations, using the watchlist), you must register an account. You agree to provide accurate, current, and complete information and to keep it updated. Providing false information — including misrepresenting your business identity — is a material breach of these Terms and may result in immediate account suspension.
3.3 Mobile Verification
Posting listings and initiating negotiations requires mobile number verification via a one-time passcode (OTP) sent by SMS. You agree to provide a valid mobile number you own and control. Verification is required to reduce fraudulent or anonymous activity on the Platform.
3.4 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at info@gulfstockhub.com if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account where you have failed to take reasonable precautions.
3.5 One Account Per User
You may maintain only one active account per person. Creating multiple accounts to circumvent restrictions or bans is prohibited.
4. Listing Rules and Seller Obligations
4.1 Permitted Listings
You may list industrial surplus equipment and related items that you legally own or have authority to sell; are accurately described; are not subject to trade sanctions or export restrictions; and comply with applicable laws.
4.2 Prohibited Listings
- Items you do not own or have no right to sell (stolen goods, items under lien without disclosure);
- Counterfeit, fraudulently described, or misrepresented items;
- Items subject to active export controls or international trade sanctions (UN, US, EU, GCC lists) without required licences;
- Hazardous materials, radioactive equipment, or controlled substances requiring special licences not disclosed;
- Consumer products (B2B only);
- Any item whose sale is prohibited under applicable GCC law.
4.3 Accuracy of Listings
All listing information — title, condition, specifications, price, payment terms, delivery terms, lead time, warranty, and inspection notes — must be accurate to the best of your knowledge. Deliberately false or materially misleading listings constitute fraud and will result in immediate removal and account termination.
4.4 Images and Documents
You may upload product images (JPEG, PNG, WebP, max 5 MB each) and technical documents (PDF, max 5 MB each). By uploading files you warrant that you hold the copyright or permission to share them publicly and that they accurately represent the listed item. Uploaded files are stored in publicly accessible cloud storage. Do not upload documents containing sensitive commercial, legal, or financial information beyond what is necessary to describe the item.
4.5 Listing Expiry and Management
Listings expire after a set period. You are responsible for removing or updating listings once items are sold, withdrawn, or materially changed. Keeping inactive or sold listings live misleads buyers and may result in listing removal.
4.6 No Payment Processing
GulfStockHub does not facilitate, process, or guarantee payment. All financial arrangements are made directly between buyer and seller outside the Platform. We strongly recommend using standard B2B payment instruments such as Letters of Credit, bank transfers with escrow, or established trade finance tools appropriate for the transaction value and jurisdiction.
5. Buyer Obligations and Responsibilities
As a buyer you acknowledge:
- Listings are provided by third-party sellers; we make no representations about their accuracy;
- You must conduct your own technical, legal, and commercial due diligence before committing to any purchase, including independent inspection of items where appropriate;
- Any warranty, inspection, or condition representation in a listing is made by the seller, not by GulfStockHub;
- You are responsible for compliance with all import duties, customs requirements, and applicable local regulations when acquiring goods from sellers in different jurisdictions.
- GulfStockHub is a marketplace platform. All tax obligations, including VAT, are the sole responsibility of the transacting parties.
6. Negotiations System
6.1 Function of the Negotiations Tool
The negotiation tool allows users to conduct structured discussions on price, delivery, and payment terms linked to a specific listing. The tool records discussion threads by topic and notifies parties by email of new messages and proposed conclusions.
6.2 No Binding Effect via the Platform
Conversations conducted through the negotiations tool are pre-contractual discussions only. No binding contract is formed on the Platform itself. A legally binding contract is formed only when both parties execute a separate written agreement (purchase order, contract of sale, or equivalent) in accordance with applicable law.
6.3 Communication Conduct
You must use the negotiations tool in good faith and only for legitimate commercial discussions related to listed items. Prohibited: spam; harassment or threats; attempts to obtain personal data beyond what is voluntarily shared; moving negotiations off-platform to evade Platform rules.
We may monitor and review negotiation communications for compliance purposes, as set out in the Privacy Policy.
7. User-Generated Content and Intellectual Property
7.1 Your Content
You retain ownership of content you submit (listing text, images, documents, negotiation messages). By submitting content you grant GulfStockHub a non-exclusive, worldwide, royalty-free licence to store, display, and transmit that content solely for the purpose of operating and improving the Platform.
7.2 Platform Intellectual Property
The GulfStockHub name, logo, software, taxonomy, design, and all Platform content created by us are our intellectual property or that of our licensors. You may not copy, reproduce, reverse-engineer, or create derivative works from any part of the Platform without our prior written consent.
7.3 Reporting Infringing or Misleading Content
Any user may report a listing they believe to be fraudulent, inaccurate, or in violation of these Terms using the "Report this listing" function. Reports are reviewed by our moderation team. We will act on valid reports but cannot guarantee any particular outcome or timeline.
8. Prohibited Conduct
In addition to specific prohibitions above, you must not:
- Use the Platform to engage in, facilitate, or promote any unlawful activity;
- Attempt to gain unauthorised access to any part of the Platform or any other user's account;
- Use automated tools (bots, scrapers, crawlers) to extract data from the Platform without our express written permission;
- Interfere with or disrupt the technical infrastructure of the Platform;
- Impersonate any person or entity or misrepresent your affiliation with any organisation;
- Use the Platform to disseminate malware, phishing content, or other harmful material;
- Engage in any conduct intended to manipulate search results, listing visibility, or Platform metrics.
9. Account Suspension and Termination
9.1 Our Rights
We may suspend or terminate your account, remove listings, or restrict your access at any time, with or without prior notice, if you breach these Terms; we receive credible reports of fraudulent or abusive conduct; continued operation poses a risk to other users; or we are required to do so by applicable law.
9.2 Your Right to Close Your Account
You may close your account at any time by contacting us at info@gulfstockhub.com. Upon closure, your public listings will be removed. Data retained for legal compliance purposes is governed by the Privacy Policy.
9.3 Effect of Termination
Termination does not release you from obligations arising before termination, including any commitments you have made to other users through negotiations conducted on the Platform.
10. Disclaimers and Limitation of Liability
10.1 Platform Provided "As Is"
The Platform is provided on an "as is" and "as available" basis without any warranty of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
10.2 No Endorsement
Publication of a listing on GulfStockHub does not constitute our endorsement, verification, or recommendation of the seller, the item, or any transaction.
10.3 Limitation of Liability
To the fullest extent permitted by applicable law:
(a) GulfStockHub and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive loss arising from your use of or inability to use the Platform, including loss of revenue, goodwill, or loss arising from failed transactions between users.
(b) Our total aggregate liability to you, regardless of the basis of the claim, shall not exceed the greater of: (i) USD 500 or (ii) any fees paid by you to GulfStockHub in the 12 months preceding the claim.
(c) Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by applicable law.
10.4 Indemnification
You agree to indemnify and hold harmless GulfStockHub and its affiliates from any claims, losses, damages, costs, and legal fees arising from: (a) your breach of these Terms; (b) your listings or communications on the Platform; (c) any transaction you enter into with another user; or (d) your violation of any applicable law or third-party rights.
11. Third-Party Services
The Platform uses third-party service providers including Supabase (database and authentication infrastructure), Resend (transactional email delivery), and Cloudflare Turnstile (bot protection). Your use of the Platform is also subject to the terms and privacy policies of these providers where they process your data. We are not responsible for the conduct or availability of third-party services.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of [JURISDICTION TO BE CONFIRMED], without regard to its conflict of law principles.
12.2 Dispute Resolution
In the event of any dispute, the parties shall first attempt to resolve it through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be referred to the courts of [JURISDICTION] or arbitration in accordance with [ARBITRATION RULES]. The language of the proceedings shall be English.
12.3 Class Action Waiver
To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against GulfStockHub.
13. Changes to These Terms
We may update these Terms at any time. We will notify registered users by email or in-Platform notification before material changes take effect. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and close your account.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and GulfStockHub with respect to your use of the Platform.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a business transfer or restructuring.
- Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
